This book addresses the important development of Chinese business law over the recent years. It is primarily aimed at foreign investors, but also at Chinese lawyers assisting them, by facilitating the explanation of concepts typical of Chinese law, relating them and, whenever appropriate, by comparing them with similar notions common in Western jurisdictions. It focuses on the foundations of Chinese law which are often ignored or misunderstood, have seldom been commented in English or whose commentaries are obsolete given the recent and profound overhaul of Chinese law. The book focuses on core legislation such as the 2019 Foreign Investment Law effective 2020, the 2020 Civil Code effective 2021 including the law of contracts and of liability, and the 2023 revision of the Company Law effective 2024. It also addresses secondary legislation and international law issues typically relevant to foreign investors in China. A rich array of tables and indexes, as well as selected terminology in Chinese, Pinyin, English, French, German and Latin complements it.
